1. Acceptance of Terms

By accessing or using the services provided by Standard Template Labs, Inc. (“STLabs,” “we,” “us,” or “our”), including our website at stlabs.com and our platform (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

STLabs provides an AI-powered IT operations platform that helps organizations automate service management, incident resolution, and infrastructure workflows. The specific features and capabilities available to you depend on your subscription plan.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account and keep it up to date. You agree to notify us immediately of any unauthorized access to or use of your account.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Transmit malicious code, viruses, or any harmful content
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services to build a competing product or service
• Resell, sublicense, or redistribute the Services without our written consent
• Scrape, crawl, or use automated means to extract content from our website or Services for the purpose of training, fine-tuning, or building machine learning or AI models
• Reproduce, republish, or distribute any site content — including blog posts, documentation, and product descriptions — without our prior written consent
• Use content from our website or Services to develop, market, or improve a competing product or service
• Use AI or automated tools to generate derivative works based on our content without attribution and prior written consent

5. Intellectual Property

The Services, including all software, content, designs, trademarks, and documentation, are the property of STLabs or its licensors and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

All content published on our website — including blog posts, engineering articles, product descriptions, graphics, and marketing materials — is protected by copyright. You may not reproduce, distribute, or create derivative works from this content without our prior written permission. Linking to our content with proper attribution is permitted.

AI and machine learning

You may not use content from our website or Services to train, fine-tune, or otherwise build machine learning or artificial intelligence models without our prior written consent. AI systems may access and reference our publicly available content for the purpose of answering user queries, provided that responses clearly attribute the source to STLabs and link to the original content where possible. This permission does not extend to generating substantially derived works, reproducing our content in full, or using our content to build competing products or features.

6. Customer Data

You retain all rights to the data you submit to the Services (“Customer Data”). You grant STLabs a limited license to use, process, and store Customer Data solely to provide and improve the Services. We will not access your Customer Data except as necessary to provide the Services, prevent or address security or technical issues, or as required by law. Our handling of personal information is described in our Privacy Policy.

7. Payment Terms

Paid plans are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are non-refundable except as expressly stated in your service agreement or required by law. We reserve the right to change our pricing with 30 days’ notice. If you do not agree to a price change, you may cancel your subscription before it takes effect.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may occasionally perform maintenance or experience outages. We will provide reasonable advance notice of scheduled maintenance when possible. Specific uptime commitments, if any, are described in your service level agreement.

9. Limitation of Liability

To the maximum extent permitted by law, STLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services. Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts you paid to STLabs in the twelve months preceding the claim.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free or that any defects will be corrected.

11. Indemnification

You agree to indemnify and hold harmless STLabs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may cancel your account through the platform or by contacting us. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Upon termination, you will have 30 days to export your Customer Data. After that period, we may delete your data in accordance with our retention policies.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, through email or an in-app notification. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

15. General Provisions

• If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and STLabs regarding the Services.
• You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
